Vertiv has completed one of the larger infrastructure transactions of the month.

The company paid approximately $1.45 billion in upfront cash for UtilityInnovation Group.

The agreement also includes up to $1.15 billion in additional consideration if the business reaches future EBITDA targets.

That means the total potential value could reach roughly $2.6 billion.

Vertiv Is Moving Further Upstream

UtilityInnovation Group specializes in:

microgrid controls,

on site generation coordination,

switchgear,

and behind the meter power systems.

Vertiv already supplies critical cooling and power infrastructure.

The acquisition extends its role from equipment inside the facility toward the systems connecting the facility to power generation.

Why Cooling Companies Are Chasing Power

Cooling capacity ultimately depends on available electricity.

If a customer cannot secure enough grid capacity, adding more chillers does not solve the fundamental problem.

That is why thermal infrastructure companies increasingly want capabilities around:

energy generation,

storage,

microgrids,

and electrical controls.

The Takeaway

Vertiv is spending at least $1.45 billion to broaden what it can control around critical infrastructure.

The physical infrastructure market is increasingly rewarding companies that can solve power and cooling together instead of selling one isolated piece of equipment.
