Advantage Distribution Holdings has acquired Badger Metals, a fourth-generation HVAC distributor serving contractors across Wisconsin.
The acquisition adds branches in Appleton, Fond du Lac, Madison and Rhinelander, taking Advantage Distribution Holdings to 17 locations across seven states.
Badger was founded in 1913 and will retain its existing brand and leadership.
Father-and-son operators Joe and Josh Welch will continue running the business.
Employees Are Getting Equity Exposure
One of the more interesting features of the deal is ownership.
Joe and Josh Welch will become shareholders in Advantage Distribution Holdings, while Badger employees will receive exposure to the platform's equity program.
That reflects a broader M&A tactic:
Buy the independent distributor.
Keep the local name.
Keep management.
Then align employees financially with the larger platform.
Another Distributor Roll-Up Takes Shape
The acquisition is Advantage Distribution Holdings' third independent HVAC distribution deal, following CT C Supply and cfm Distributors.
The strategy looks increasingly familiar across HVAC distribution.
Regional businesses retain customer relationships and local expertise while gaining access to larger-scale:
capital,
technology,
purchasing,
and expansion resources.
The Takeaway
For more than a century, Badger Metals operated as an independent Wisconsin distributor.
It will now remain locally branded while becoming part of a multi-state HVAC platform.
That may be the defining distribution model of this consolidation cycle: local identity, institutional ownership.
